Terms of Service

1. Who We Are

"Alpha Lab", "AlphaPro", "we", "us", or "our" refers to Alpha Lab Technology, operating from Georgetown, Guyana. Alpha Lab Technology is a subsidiary and operating brand of Genesis Global Investment LLC, its parent company. Genesis Global Investment LLC may act as the contracting, invoicing, or payment-receiving entity for services delivered under the Alpha Lab Technology brand, and both entities are bound by these Terms.

All products and platforms created by Alpha Lab Technology — including websites, web applications, AI assistants, and WhatsApp Business API messaging services — are delivered by Alpha Lab Technology as part of the Genesis Global Investment LLC group. "Client", "you", or "your" refers to the individual or business engaging our services. By submitting a deposit, signing a quote, or starting work with us, you agree to these Terms.

2. Services We Provide

• Website design and development (Starter, Business, Premium tiers).
• Web application development (custom platforms).
• AI integrations: chatbots, automations, and AI features inside web apps.
• Monthly maintenance, hosting management, and support.
• Add-on services such as logo design, SEO, photography, and ad management.

3. Quotes, Deposits & Payment

• All prices are quoted in Guyanese Dollars (GYD) unless stated otherwise.
• Quotes are valid for 30 days from the date issued.
• A non-refundable 25%–50% deposit is required before work begins (exact amount stated on the quote).
• Payment plans (where offered) require the deposit upfront and the balance over the agreed instalments. Missed instalments pause the project until brought current.
• Final files, source code, deployment, and domain transfers are released only after full payment is received.

4. Late Payment

Invoices unpaid more than 14 days past their due date may incur a 5% late fee per month. Accounts more than 60 days overdue may have their site, app, or services suspended without further notice.

5. Project Timelines

Estimated delivery times are stated on each quote. Timelines depend on the Client providing content, feedback, and approvals promptly. Delays caused by the Client (slow feedback, missing content, scope changes) extend the delivery date by an equivalent amount and may incur additional fees.

6. Client Responsibilities

• Provide accurate business information, content, images, and brand assets.
• Respond to requests for feedback within 5 business days. Lack of response for 14+ days may be treated as approval.
• Ensure you own or have licence to all content you supply.
• Maintain your own backups of any data you provide.

7. Intellectual Property

Upon receipt of full payment, you receive a perpetual, non-exclusive licence to use the final delivered website, app, designs, and content for your business. Alpha Lab retains ownership of underlying code frameworks, reusable components, internal tools, and the right to display the work in our portfolio (unless you request otherwise in writing).

Third-party assets (stock photos, fonts, plugins, AI model usage) remain governed by their original licences.

8. Hosting, Domains & Third-Party Services

Hosting, domain registration, AI usage credits, and third-party SaaS subscriptions (e.g. payment processors, email providers) are billed separately and may be passed through at cost or as part of a maintenance plan. We are not responsible for outages or pricing changes caused by these third parties.

9. Warranties & Limitation of Liability

We warrant that work will be performed in a professional manner. We will fix any bugs in work we built for 30 days after launch at no charge. Beyond this, fixes fall under your maintenance plan or hourly rates.

To the maximum extent permitted by Guyanese law, our total liability for any claim arising from a project is limited to the amount paid by the Client for that specific project in the preceding 6 months. We are not liable for indirect, incidental, or consequential damages (lost profits, lost data, business interruption).

10. Indemnification

You agree to indemnify Alpha Lab against any claim arising from content you supplied, your use of the delivered work, or your violation of any third-party rights or laws.

11. Confidentiality

Both parties agree to keep confidential information shared during the project private and to use it only for delivering the agreed services.

12. Termination

Either party may terminate a project for material breach with 14 days' written notice. See our Cancellation Policy and Refund Policy for financial terms upon termination.

13. Governing Law

These Terms are governed by the laws of the Co-operative Republic of Guyana. Any disputes shall be resolved first by good-faith negotiation, then by mediation in Georgetown, and finally by the courts of Guyana.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent change. Continued use of our services after a change constitutes acceptance.
